These Terms and Conditions govern access to the CPA Attest website, client portal and related services. Engagement-specific terms are governed by the applicable written engagement agreement.

Important: These website Terms are intended to govern general use of the CPA Attest website and portal. They do not replace an engagement letter, statement of work, proposal, Business Associate Agreement, data-processing agreement or other written agreement governing a specific professional engagement.

1. Acceptance of These Terms

By accessing this website, creating or using a client portal account, submitting a consultation request, or using a CPA Attest service, you agree to these Terms to the extent they apply.

If you access or use the services on behalf of an organization, you represent that you have authority to act on behalf of and bind that organization.

2. Services

CPA Attest Inc. provides professional CPA attestation, readiness, compliance and related advisory services. Website descriptions, package descriptions, framework summaries, educational content and general estimates are provided for informational purposes and do not themselves create a professional engagement.

Services may address regulatory or industry frameworks including SOC 1, SOC 2, HIPAA, GDPR, GAPP and federal contracting requirements. The exact scope, procedures, deliverables and professional responsibilities are determined by the applicable written engagement agreement.

3. Engagement-Specific Terms

Each professional engagement may be governed by a separate engagement letter, statement of work, proposal, order form, data-processing agreement, Business Associate Agreement or other written agreement.

If there is a conflict between these website Terms and a signed engagement agreement, the engagement agreement controls with respect to that engagement.

CPA Attest does not guarantee that a client will achieve a particular certification, attestation conclusion, regulatory outcome, customer approval or contract award. Professional conclusions depend upon the applicable criteria, evidence, testing procedures and professional standards.

4. Client Portal and Accounts

Users are responsible for maintaining the confidentiality of their portal credentials and for all activity conducted through their account.

Users must not share credentials, impersonate another person, attempt to bypass access controls, access another client's information, introduce malware, interfere with system availability, or use the portal for unlawful purposes.

CPA Attest may suspend or restrict access where reasonably necessary to protect client information, evidence, systems, users, or legal interests.

5. Evidence, Confidentiality and Client Responsibilities

Clients are responsible for providing accurate, complete and timely information and evidence required for their engagement.

You represent that you have all rights, permissions and authority necessary to provide documents, evidence and other materials to CPA Attest.

Confidential information received during a professional engagement will be handled according to the applicable engagement agreement and confidentiality obligations.

Do not submit sensitive or regulated information through an unapproved public channel. Use the designated secure client portal or another transfer method specifically provided by CPA Attest.

6. Fees and Payments

Pricing displayed on the website may be subject to engagement scope, entity complexity, applicable framework requirements and the final written proposal or engagement agreement.

Additional services, expanded scope, additional testing, travel, third-party costs or other charges may apply where agreed in writing.

Payment terms, deposits, refunds, cancellation charges and payment milestones are governed by the applicable written agreement or invoice.

A package displayed on the website does not by itself constitute acceptance of an engagement or guarantee a particular professional conclusion.

7. Intellectual Property

The CPA Attest website, branding, visual design, software, text, graphics, logos and other materials are owned by or licensed to CPA Attest Inc. unless otherwise stated.

You may not reproduce, distribute, scrape, reverse engineer, modify or commercially exploit website materials without prior written permission.

Client-provided information and materials remain subject to the ownership, confidentiality and permitted-use provisions of the applicable engagement agreement.

8. Privacy and Regulated Data

Personal information is handled according to the CPA Attest Privacy Policy.

Depending on the relationship, jurisdiction and data involved, additional requirements may apply under the General Data Protection Regulation (GDPR), California privacy laws including the CCPA/CPRA, HIPAA, state privacy laws, contractual data-processing provisions or a Business Associate Agreement.

HIPAA does not apply to every business or every type of health-related information. Where CPA Attest acts as a business associate for a covered entity, applicable HIPAA obligations will be addressed through appropriate contractual and operational controls.

9. Security and Acceptable Use

CPA Attest maintains safeguards appropriate to the nature of the information and systems involved. However, no website, cloud service or transmission method can be guaranteed to be completely secure.

Users must not conduct unauthorized penetration testing, attempt unauthorized access, introduce malicious code, interfere with service availability, or access information belonging to another client.

10. Disclaimers

To the maximum extent permitted by applicable law, the website and general informational content are provided on an “as available” basis.

CPA Attest does not warrant that the website will always be uninterrupted, error-free or free from harmful components.

Website content is general information and is not legal, tax, medical, investment or other professional advice outside the specific services agreed in writing.

Regulatory requirements change over time. Clients should rely on their current engagement documentation and appropriately qualified advisers for decisions outside the agreed scope of services.

11. Limitation of Liability

To the maximum extent permitted by applicable law, CPA Attest Inc. and its officers, employees, contractors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or loss of profits, revenue, goodwill, business opportunity or data, arising from use of the website or services.

This limitation does not apply to the extent prohibited by applicable law or where a controlling engagement agreement provides otherwise.

Any liability arising from a professional engagement remains subject to the limitations, exclusions and professional standards stated in the applicable engagement agreement.

12. Indemnification

To the extent permitted by law, a user or client is responsible for losses arising from their material breach of these Terms, unlawful use of the website or portal, infringement of third-party rights, or submission of materials they were not authorized to provide, subject to any limitations in a controlling written engagement agreement.

13. Suspension and Termination

CPA Attest may suspend or terminate website or portal access for security reasons, misuse, non-payment, legal compliance or material breach.

Termination does not automatically terminate obligations that by their nature should survive, including confidentiality, intellectual property, payment obligations, dispute provisions and applicable limitations of liability.

14. Governing Law and Disputes

Unless a controlling engagement agreement states otherwise, these website Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any dispute relating solely to these website Terms will be brought in a court of competent jurisdiction in New York, New York, subject to any mandatory rights or remedies provided by applicable law.

15. Changes to These Terms

CPA Attest may update these Terms from time to time. The Effective Date above identifies the current version.

Where permitted by law, continued use of the website after an update constitutes acceptance of the revised Terms.
